Trustmarque and Ultima to merge in major UK tech consolidation

Trustmarque Group and Ultima Business Solutions have signed a definitive agreement to merge, forming one of the UK’s largest IT channel providers. The transaction, expected to be completed in the coming weeks, will create a combined business with a projected Gross Invoiced Income of £1 billion and a workforce exceeding 1,000 employees.

Both firms have built strong reputations in the UK technology services sector, each with nearly four decades of experience supporting enterprise clients and government departments. The merger will unite their expertise across managed services, cloud, cybersecurity, and digital transformation, expanding their reach to more than 3,000 customers across seven UK and international locations.

Simon Williams, CEO of Trustmarque, said:
“Together, we are a powerhouse for managed services and digital innovation across the UK and globally. This merger brings together complementary strengths to create greater value for our people and our clients. Building on Trustmarque’s strong Microsoft and Cisco heritage, we are combining the breadth of services and scale needed to deliver, with the depth of expertise and experience that comes from our united teams.

This gives us more opportunities to anticipate our clients’ needs, stay ahead of changes in their industries and unlock new opportunities together.”

The combined organisation will integrate partnerships with leading technology vendors including Microsoft, Cisco, IBM, HP, Hitachi Vantara, Palo Alto, and Citrix. The goal is to create a unified portfolio of end-to-end IT services and solutions, positioning the company to meet rising demand for complex, scalable digital infrastructure.

Jamie Beaumont, CFO of Ultima, said:
“This is a major milestone in our growth strategy. From the outset, it has been clear that there is exceptional complementarity between Trustmarque and Ultima, with the potential to combine scale with specialist expertise. Together, we offer a comprehensive, integrated range of services and support, delivered by exceptional talent that our customers rightly value. Our immediate priority is to complete the transaction and ensure a smooth transition in the coming months for all our customers and partners, while unlocking the full potential of the group.”

Trustmarque CEO Simon Williams will lead the new group as Chief Executive Officer, with Ultima’s Jamie Beaumont serving as Chief Financial Officer. Private equity backers One Equity Partners and Apse Capital will continue to support the company’s long-term growth strategy. Both businesses will operate independently until the merger is complete.
